Terms of Service

Provern’s operational platform is under construction and is not yet available to the public. These Terms describe how the Provern subscription service operates once it becomes available. See the homepage for Provern LLC’s current status.

These Terms of Service (“Terms”) govern the use of this website (provern.info), the Provern subscription platform and related services (the “Service”), and any services provided by Provern LLC, a New Jersey limited liability company (“Provern,” “we,” or “us”). By accessing this website, creating an account, subscribing, or otherwise using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you are authorized to bind that organization.

Description of the Service

Provern is a subscription-based business-intelligence platform. Provern publishes software, data analytics, benchmarks, and reports that help businesses understand healthcare pricing, market structure, and the organizations that operate within it. Provern’s insights are derived from publicly available and lawfully obtained commercial datasets. Provern is not an insurer, a healthcare provider, a pharmacy, or a claims processor, and the Service is provided for business and informational use.

No professional advice; no Protected Health Information

The Service provides information and analytics for business use. It does not constitute medical, clinical, legal, tax, accounting, or investment advice, and you should not rely on it as a substitute for professional advice. Provern does not collect, receive, process, transmit, or store Protected Health Information (PHI) as defined under the Health Insurance Portability and Accountability Act (HIPAA); Provern is not a covered entity or a business associate. The Service works with aggregate market and pricing information, not patient records. You agree not to submit PHI or other regulated personal health information to the Service.

Eligibility and restrictions

The Service is intended for use by businesses and their authorized personnel in the United States. You are responsible for complying with all laws applicable to your use of the Service, including any export-control, sanctions, or trade laws. You may not access or use the Service if you are barred from doing so under applicable law, and you may not use the Service in, or export or re-export any part of it to, any jurisdiction subject to comprehensive sanctions.

Accounts

Using the Service requires creation of a user account. Account creation may be performed via a third-party identity provider (for example, Google or Microsoft), in which case that provider transmits your name, email address, and profile image to Provern for the sole purpose of authenticating you to your account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Provern may suspend or terminate accounts for violations of these Terms or for any conduct that Provern determines, in its reasonable discretion, to be harmful to Provern, its clients, or other users.

Subscriptions, billing, and automatic renewal

Provern operates a business-to-business subscription model. Subscriptions are sold to organizations with monthly or annual billing terms and are payable in advance in United States Dollars. Multi-year, multi-seat, and enterprise-tier terms are available under signed order forms. By subscribing, you authorize Provern and its payment processor to charge your payment method the applicable fees, plus any applicable taxes, for the initial period and, on a recurring basis, for each renewal period until you cancel. Unless you cancel, your subscription renews automatically at the then-current price at the end of each period. Provern may change subscription prices, with any change applying to a subsequent renewal period and with notice before the changed price takes effect. Details are set out in Pricing & Billing.

One-time purchases (Briefs)

In addition to subscriptions, Provern offers Briefs, one-time purchases of a specific dated PDF report on a specific healthcare entity. A Brief is not a subscription, does not renew, and is not billed recurring. Payment is taken at checkout and the PDF is generated and made available to your account immediately. Access to a purchased Brief is granted to your account and the PDF is downloadable for 90 days from the date of purchase. If a Brief you have purchased is materially incomplete or contains a confirmed data error affecting its findings, contact support@provern.info within 14 days of purchase for a corrected report or a full refund to your original payment method. Outside that 14-day corrected-or-refund window, all sales of Briefs are final. A Brief is a defined deliverable for your organization’s internal use, not a licence to redistribute; you may not resell it, republish it as a data product of your own, or share the download with parties outside your account.

Refunds and cancellations

Subscription fees are non-refundable and all sales are final. Provern does not provide prorated refunds, partial refunds, credits, or reimbursements for the current or any prior subscription period, and does not grant refunds based on partial use, non-use, dissatisfaction, change of mind, or a decision not to continue. This is a material term of your subscription and reflects the nature of the product: business intelligence — data, analytics, benchmarks, and reports — is delivered on access, is retained by the subscriber’s own knowledge and any data the subscriber views or exports, and cannot be returned once viewed. You affirmatively accept this term at checkout (by checking a specific acknowledgment box or, in the case of an enterprise order form, by signing an order form) before payment, and this acknowledgment is recorded with your order. Filing a chargeback with your card issuer in circumvention of this term is a breach of these Terms; Provern will contest such a chargeback with evidence of your acceptance and of the service delivered, and may recover chargeback fees, suspend or terminate access, and pursue amounts owed. You may cancel at any time to stop future renewals; your access continues through the end of the period already paid, after which no further charges are made. Acceptable use and license

Subject to these Terms and your payment of applicable fees, Provern grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and its outputs for your organization’s internal business purposes. The Service and its contents are licensed, not sold. You may not, and may not permit any third party to: (i) resell, sublicense, distribute, or make the Service or its outputs available to any third party except as expressly permitted; (ii) scrape, crawl, or use automated means to extract data from the Service except through interfaces Provern provides for that purpose; (iii) copy, reproduce, or create derivative works from the Service or its outputs except as expressly permitted; (iv) reverse engineer, decompile, or attempt to derive the source or underlying data structure of the Service; or (v) use the Service in violation of any applicable law or these Terms.

SMS Terms

Provern operates an authentication and administrative SMS program for authorized personnel and account holders. Enrolled recipients may receive SMS from Provern containing two-factor authentication codes and occasional security or account-activity alerts, at a low volume (typically 0–10 messages per month per recipient). Message and data rates may apply. Message frequency varies with account activity. Reply STOP, UNSUBSCRIBE, CANCEL, END, or QUIT to any message received to opt out; opt-out will terminate SMS delivery and, because the SMS program is tied to authenticated system access, may also terminate access to Provern systems that require SMS authentication. Reply HELP for support, or contact support@provern.info. The Provern SMS program is limited to enrolled recipients and is not open to the general public.

Third-party services

Provern relies on third-party service providers to operate the Service, including payment processing (Stripe, Inc.), identity and sign-in providers (such as Google and Microsoft), and cloud hosting. Your use of those features may also be subject to the third party’s own terms. Provern is not responsible for the acts or omissions of third-party providers except as required by applicable law.

Website use

This website is provided for informational purposes. You may view the content for lawful informational purposes. You may not reproduce, distribute, modify, or create derivative works of the content without the prior written consent of Provern, except as permitted by applicable law.

Intellectual property

All content on this website and in the Service, and all software, data compilations, analytics, and reports Provern provides, are the property of Provern LLC or its licensors and are protected by applicable intellectual property laws. Provern’s name and marks are the property of Provern LLC.

Disclaimers

This website and the Service are provided “as is” and “as available” without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy or completeness of data.

Limitation of liability

To the maximum extent permitted by applicable law, Provern shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to the use of this website or the Service. To the maximum extent permitted by applicable law, Provern’s aggregate liability arising out of or related to these Terms or the Service shall not exceed the amount you paid to Provern for the Service in the twelve months preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold Provern harmless from any claims, losses, or expenses arising out of your use of the Service in violation of these Terms or applicable law.

Governing law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles. Any dispute shall be resolved in the state or federal courts located in New Jersey.

Changes

Provern may modify these Terms at any time by posting an updated version on this website. Continued use of this website or the Service after any changes constitutes acceptance of the modified Terms.
